When you engage eoinstanley.com to perform work in a freelance or independent contractor capacity, you will be required to accept the eoinstanley.com Freelance Terms & Conditions. Rates will be confirmed in writing through email before work commences. These terms are effective as of January 2025.

Agreement between Eoin Stanley, owner/operator of eoinstanley.com, and You, the authorised representative of “The Client” (hereinafter referred to as “The Client”), for work commencing in the capacity of Graphic Designer, Freelance Photographer, Videographer, Illustrator, Digital Designer, Web Designer, Digital Producer or Design Consultant.

  1. AGREED HOURLY RATE – The agreed hourly rate for work carried out during normal business hours (9:00am – 6:00pm AEST, Mon–Fri) will be confirmed in writing prior to commencement. The agreed hourly rate is confidential between The Client and eoinstanley.com. eoinstanley.com reserves the right to review rates periodically; any change during an engagement will be notified in writing and must be agreed before taking effect.
  2. DAILY RATE – Where The Client prefers a fixed daily rate, the rate will be negotiated and confirmed in writing. Daily rate bookings are exclusive and reserve the Designer’s time for The Client. Overtime arrangements (if required) will be agreed during negotiation and reflected in an updated work agreement.
  3. OVERTIME / RUSH RATE – Overtime/rush applies outside 9:00am – 6:00pm AEST (Mon–Fri), on weekends/public holidays, or where expedited turnaround is requested. Overtime/rush rates are charged only where The Client requests such work or agrees to an expedited schedule. Where deadlines require work to exceed the booked time, The Client will be notified before any overtime/rush work proceeds.
  4. EXCLUSIVE BOOKING – Where The Client books a specific day or time, this is an Exclusive Booking. Exclusive Bookings ensure dedicated time is blocked out without interruption and are subject to the Minimum Daily Charge (Daily Rate). Working hours for a daily booking are 9:00am – 6:00pm AEST, Monday to Friday (including a one-hour break 1:00pm – 2:00pm AEST).
  5. MINIMUM DAILY CHARGE FOR EXCLUSIVE BOOKING – A minimum of eight (8) hours will be charged at the agreed daily rate where an Exclusive Booking has been made. If the booking is cancelled within 24 hours of the booked day, half of the Minimum Daily Charge will be invoiced. Same-day cancellation/no-show may be charged in full.
  6. SCOPE OF WORK – Work is performed to the written brief and specifications supplied at the time of booking. Changes to format, platform, aspect ratio, copy/language or brand requirements after commencement constitute new scope and require additional time/booking and approval before proceeding.
  7. REVISIONS & FEEDBACK – Unlimited revisions may be made within the booked session time. Feedback should be consolidated and provided during the booked window. Notes received after the session ends require either overtime at the applicable rate or a new booking. The Client will be advised if requested changes are likely to exceed the booked time before additional charges are incurred.
  8. SPECIFICATIONS, SAFE AREAS & ASSETS – The Client must provide up-to-date technical specifications (e.g. platform safe areas, resolutions/codecs/bitrates, file-size limits, caption styles, logo placement rules, brand guidelines) and licensed assets before or during the booked time. If official specs/templates are not supplied in time, the Designer may proceed using reasonable industry references; any later adjustments required to match updated requirements will be treated as new scope.
  9. DELIVERABLES VS WORKING FILES – Final deliverables (e.g. exported MP4/MOV, JPG/PNG, PDF) are included per the agreed brief. Editable working files (e.g. After Effects, Premiere, Photoshop, Illustrator) are not included by default and may be licensed/transferred under a separate agreement. All working files and final deliverables remain the property of the Designer until all invoices are paid in full. No transfer or handover of working files occurs until payment has cleared.
  10. PAYMENTeoinstanley.com invoices on delivery or weekly, as agreed. Payment by The Client is required within seven (7) days of invoice. Payment is accepted by direct deposit (bank details supplied on invoice). Late payments incur a compounded 5% late fee per 7-day period after the initial due date. The Designer may suspend work or withhold deliverables if invoices fall overdue.
  11. CONFIDENTIALITYeoinstanley.com agrees not to misuse or disclose any confidential information made available by The Client. Both parties will keep non-public information private.
  12. CLIENT RESPONSIBILITIES – From reporting for duties and throughout the booking, The Client is responsible for providing timely access to stakeholders, assets, specifications and consolidated feedback. Reasonable care will be taken to deliver high standards; however, eoinstanley.com will not be liable for loss, expense or damage caused by acts or omissions during the booking, or by Client-supplied content/specifications.
  13. ARTWORK APPROVAL, ERRORS AND OMISSIONSeoinstanley.com will take reasonable care to ensure accuracy and technical soundness. It is The Client’s responsibility to review all work carefully before approval. Once approval is given (in writing, verbally, or implied by publication/use), eoinstanley.com is not liable for errors or omissions; any corrections thereafter are new scope and billable.
  14. NATURE OF COPY – The Client agrees to exercise due diligence in direction and must substantiate all claims/representations. The Client is responsible for trademark, service mark, copyright and patent clearances, and any necessary legal approvals prior to publication. eoinstanley.com will not be liable for legal infringements arising from materials supplied or approved by The Client.
  15. LIABILITY – To the maximum extent permitted by law, eoinstanley.com is not liable for indirect, incidental or consequential loss (including lost profits, media spend, business interruption or loss of data) arising from the services. The total aggregate liability of eoinstanley.com is limited to the fees paid by The Client for the relevant booking. The Client indemnifies the Designer against claims, costs or liabilities arising from Client-supplied materials or instructions.
  16. FILE DELIVERY & RETENTION – Files are delivered via link or transfer service. Links will remain active for a reasonable period. The Designer is not obligated to archive or retain project files after final delivery unless otherwise agreed in writing; retrieval of archived files may incur a fee.
  17. CANCELLATION / TERMINATION OF AGREEMENT – If The Client cancels/terminates, hours worked to that point will be invoiced (minimum 8 hours where an Exclusive Booking has been made). Outstanding invoices are due within seven (7) days. Half the Minimum Daily Charge applies if cancellation occurs within 24 hours of the booking; same-day cancellation/no-show may be charged in full.
  18. INTELLECTUAL PROPERTY & PORTFOLIO – Full ownership/licence to use final deliverables transfers only upon full payment of all invoices. Until payment, all IP and working files remain the property of the Designer. The Designer may display non-confidential work, Client name and project details in portfolios/showreels/social media once live, unless confidentiality is agreed in writing before project start.
  19. VARIATION IN TERMS – These terms can only be varied by written agreement between eoinstanley.com and The Client. These Terms are governed by the laws of New South Wales, Australia, and the parties submit to the non-exclusive jurisdiction of its courts.
